The Vancouver Hilton Hotel and Conference Center - Vancouver, WA

The hotel contains 226 guest rooms and has approximately 29,000 net square feet of meeting public space. 160 parking spaces will be constructed in an underground garage. The current business plan and sales & marketing plan details pro forma group rooms sold to constitute approximately 55% of total room sold.

A hotel and conference center constructed in an urban redevelopment area. The client was the City of Vancouver, Washington. The hotel and conference center were funded through a $66 million project revenue tax-exempt bond financing. The owner is a municipally organized non-profit corporation established as an Authority to be a single purpose, single asset, bankruptcy-remote entity.

Duties Included:


  • Acted as the primary advisor to the City of Vancouver on all matters relating to the lodging operating business, as well as on numerous development-related matters.
  • Negotiated the Qualified Management Agreement, the Pre-Opening Agreement and the Technical services Agreement. Developed the business terms for the Room Block Agreement.
  • Interacted, on behalf of the City, with parties in interest to the transaction including the Convention & Visitors Bureau, City Attorney, Bond Counsel, Disclosure Counsel, Underwriters’ Counsel, Developer, Hotel Manager, and the Underwriter.
  • Prepared materials for presentation to investors and rating agencies; participated in related rating agency and investor meetings; responsible for responding to investor and rating agency issues for lodging industry related matters.
